Integrity Reporting
1. Purpose:
1.1. Y. T. Realty upholds the principles of integrity, law observance, compliance, transparency, business ethics, and corporate governance standards. We encourage both employees and external parties to report any fraud or other violations by our Group and its subsidiaries in business activities.
1.2. This policy aims to outline Y. T. Realty's policy and commitment to handling reports and protecting whistleblowers, as well as to provide detailed guidelines on how to report fraud and other violations.
1.3. This policy applies to all employees of Y. T. Realty and its subsidiaries, including directors, supervisors, senior management, and general employees. It also extends to third parties engaged with Y. T. Realty, such as clients and suppliers. For partner companies or projects, Y. T. Realty encourages them to adopt and comply with similar policies.
2. Reportable Matters:
Whistleblowers (including but not limited to employees or third parties) can report any fraud and other violations related to the Group, including but not limited to:
2.1. Violations of Y. T. Realty's Integrity and Anti-Commercial Bribery Agreements, which outline principles on business ethics, conflict of interest, anti-unfair competition, anti-bribery, equal employment opportunities, trade secrets, privacy protection, etc.
2.2. Improper and illegal acts of embezzling, stealing, defrauding, misappropriating, or otherwise acquiring company property or funds by abusing one's position.
2.3. Soliciting or accepting bribes from employees, clients, or suppliers through all kinds of abuse of power.
2.4. Engaging in related-party transactions involving employees' relatives or close friends, or allowing a direct supervisor-subordinate relationship between them within the same unit.
2.5. Borrowing money from employees, clients, or suppliers, or asking them to purchase personal items.
2.6. Accepting gifts exceeding RMB 500 from clients, suppliers, colleagues, or subordinates that may affect company interests, including local specialties, for occasions like birthdays, weddings, or funerals.
2.7. Violations related to financial reporting or internal control.
2.8. Criminal activities or violations of laws and regulations.
2.9. Defrauding clients for personal gain.
2.10. Disclosing, selling, or exchanging company trade secrets.
2.11. Other fraudulent, illegal, or unethical conduct.
3. Whistleblower Protection Policy:
3.1. Confidentiality: Except as required by law or in cases where fraud cases need to be referred to judicial authorities, Y. T. Realty will keep all submitted reports confidential. The identity of whistleblowers will be strictly protected, and only the designated administrator has access to the reporting email and other submission channels.
3.2. Protection Against Retaliation: Y. T. Realty ensures fair treatment of whistleblowers who make truthful reports under this policy, including protection from unfair dismissal, persecution, or improper disciplinary actions. Any retaliation against whistleblowers or witnesses will be strictly addressed.
3.3. Encouragement of Real-Name Reporting: Whistleblowers are encouraged to provide their real names to facilitate communication for details and receive feedback on the investigation results.
3.4. Anonymous Reporting: If whistleblowers prefer not to disclose their identity, they may submit reports anonymously.

4.5. Escalation: If a report regarding violations or fraud is submitted to an employee's direct supervisor or department head, they must forward the report to the Group's Audit and Supervision Team.

5. Investigation and Handling:
5.1. The handling information of reported cases will be recorded in the Audit and Supervision System, including the source, date, content, investigation process, and accountability measures.
5.2. Upon receiving a report of violations or fraud, the Group's Audit and Supervision Team will conduct a preliminary review based on the provided information.
5.3. If the preliminary review indicates suspected violations or fraud, the case will be submitted to the Director of the Audit and Supervision Team for approval and then to the Chairman for final approval before initiating a formal investigation. The investigation includes, but is not limited to, reviewing relevant documents and interviewing relevant employees, clients, and suppliers.
5.4. Upon concluding the investigation, the Audit and Supervision Team will compile a report for approval by the Chairman. If the investigation confirms violations requiring accountability measures, an accountability plan shall also be submitted for approval.
5.5. If the investigation reveals violations of state laws, or suspicion of corruption, bribery, or other criminal activities, the company will report the case to public security organs. Violations of Y. T. Realty's Integrity and Anti-Commercial Bribery Agreements and other regulations will be subject to disciplinary actions according to company policies, including termination without compensation, demotion, salary reduction, demerits, or public reprimands.
5.6. If the report is substantiated, the whistleblower—whether an employee or an external party—may receive a material reward based on the nature of the incident, its impact, the amount of loss recovered, and the level of cooperation provided. Furthermore, strict confidentiality will be maintained.
6. False Reporting
Whistleblowers must ensure that their reports are truthful. If the whistleblower submits a false report, Y. T. Realty reserves the right to pursue legal action in accordance with the law. Employees found to have made false reports may be dismissed without compensation.
